Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, platforms, APIs, operational services, analytics services, and related offerings operated by CoreStack Technologies (“CoreStack,” “we,” “us,” or “our”).
By accessing, browsing, using, or interacting with our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the services.
1. Eligibility and Acceptance of Terms
You represent and warrant that:
- You are at least 18 years old;
- You have authority to enter into these Terms;
- If acting on behalf of an organization, you have authority to bind that organization; and
- Your use of the services complies with applicable laws and regulations.
If you are using the services on behalf of an organization, “you” includes both you and that organization.
2. Description of Services
CoreStack provides logistics technology platforms, operational systems, analytics services, automation tooling, AI-readiness services, integrations, operational support, fulfillment coordination, dispatch systems, and related business services.
Services may include:
- CoreBox delivery operations platform;
- CorePro operational and analytics services;
- Logistics workflows and operational tooling;
- Reporting and analytics systems;
- APIs and integrations;
- AI-enabled operational functionality; and
- Related support or consulting services.
Website content is provided for informational purposes and does not constitute a binding offer unless expressly stated otherwise in a separate written agreement.
3. Accounts and Responsibilities
If we provide credentials, accounts, API keys, or access tokens, you are responsible for:
- Maintaining confidentiality and security of access credentials;
- All activities conducted through your accounts;
- Providing accurate and current information; and
- Promptly notifying us of unauthorized access or security incidents.
You may not share accounts or credentials except as expressly permitted.
4. Acceptable Use
You agree not to:
- Violate any applicable law, regulation, or third-party rights;
- Attempt unauthorized access to systems, accounts, APIs, or data;
- Reverse engineer, decompile, or attempt to derive source code;
- Interfere with or disrupt the integrity, performance, or availability of services;
- Introduce malware, ransomware, harmful code, or malicious automation;
- Use the services for fraudulent, deceptive, abusive, or unlawful activities;
- Scrape, crawl, or harvest information contrary to our policies or technical restrictions;
- Circumvent security or authentication measures;
- Misrepresent affiliation with CoreStack or any third party; or
- Use services in a manner that could damage operational reliability, security, or platform integrity.
We may suspend or restrict access for violations of these Terms.
5. APIs, Integrations, and Third-Party Services
Our services may integrate with or depend on third-party providers, including:
- Cloud infrastructure providers;
- Commerce systems;
- ERP and WMS platforms;
- Mapping and routing providers;
- Payment processors;
- Communication and notification providers;
- Carrier and courier systems; and
- Analytics or AI platforms.
Your use of third-party services is governed by their respective terms and policies.
We do not guarantee compatibility, availability, or uninterrupted operation of third-party integrations.
6. Operational Services Disclaimer
CoreStack provides technology, operational support, analytics, and workflow systems designed to assist logistics and supply chain operations.
Unless expressly agreed otherwise in writing:
- CoreStack is not a carrier, freight broker, or transportation provider;
- CoreStack does not guarantee delivery outcomes, delivery timing, or operational performance;
- Operational decisions remain the responsibility of customers and operators; and
- Customers are responsible for verifying operational workflows, routing decisions, fulfillment actions, and delivery execution.
7. AI and Automation Features
Certain services may include AI-assisted, automation-assisted, forecasting, recommendation, or analytics functionality.
You acknowledge that:
- AI-generated outputs may contain inaccuracies or incomplete information;
- Automated recommendations should be independently reviewed;
- AI functionality may evolve over time;
- AI outputs do not constitute professional, legal, financial, operational, or regulatory advice; and
- Customers remain responsible for operational decisions and outcomes.
Beta or experimental features may be modified, suspended, or discontinued at any time.
8. Fees and Payment Terms
Fees, billing schedules, taxes, payment obligations, implementation costs, and service scopes for paid services will be governed by separate written agreements, statements of work, order forms, or invoices.
Unless otherwise agreed:
- Fees are non-refundable;
- Payments are due according to invoice terms;
- Late payments may incur interest or suspension of services; and
- Customers are responsible for applicable taxes.
9. Intellectual Property Rights
CoreStack and its licensors retain all rights, title, and interest in and to:
- Software;
- Platforms;
- APIs;
- Operational systems;
- Documentation;
- Branding;
- Analytics frameworks;
- Models;
- Data structures;
- Website content; and
- Related intellectual property.
No ownership rights are transferred except where expressly granted in writing.
You may not copy, distribute, modify, reproduce, lease, sublicense, or create derivative works from the services except as permitted by law or written agreement.
10. Customer Data
As between the parties, customers retain ownership of their business data and operational information submitted to the services.
You grant CoreStack the rights necessary to:
- Host and process data;
- Provide services;
- Support integrations and workflows;
- Improve operational reliability;
- Maintain platform security; and
- Generate aggregated, anonymized, or de-identified analytics.
You represent that you have rights necessary to provide such data.
11. Confidentiality
Each party may receive confidential information from the other.
Confidential information includes non-public technical, operational, business, financial, or commercial information disclosed in connection with services.
The receiving party agrees to:
- Protect confidential information using reasonable safeguards;
- Use it only for authorized purposes; and
- Not disclose it except as permitted by law or agreement.
Confidentiality obligations do not apply to information that:
- Becomes publicly available through no fault of the recipient;
- Was already lawfully known;
- Is independently developed; or
- Is lawfully obtained from a third party.
12. Privacy
Use of our services is also governed by our Privacy Policy.

13. Service Availability
We strive to maintain reliable service availability but do not guarantee uninterrupted or error-free operation.
Services may be temporarily unavailable due to:
- Maintenance;
- Upgrades;
- Security events;
- Infrastructure failures;
- Third-party outages; or
- Circumstances beyond our control.
We may modify, suspend, or discontinue services at any time.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
CORESTACK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- OPERATIONAL PERFORMANCE; AND
- AVAILABILITY.
WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORESTACK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- EXEMPLARY DAMAGES;
- PUNITIVE DAMAGES;
- LOSS OF PROFITS;
- LOSS OF REVENUE;
- LOSS OF DATA;
- BUSINESS INTERRUPTION;
- OPERATIONAL DELAYS; OR
- LOSS OF GOODWILL.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNTS PAID TO CORESTACK DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100), IF NO FEES WERE PAID.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply.
16. Indemnification
You agree to defend, indemnify, and hold harmless CoreStack and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, costs, and expenses arising out of:
- Your use of the services;
- Violation of these Terms;
- Violation of law;
- Infringement of third-party rights; or
- Data or materials you provide.
17. Suspension and Termination
We may suspend or terminate access to services immediately if:
- You violate these Terms;
- Your activities create security or operational risks;
- Required by law;
- Payments remain overdue; or
- Necessary to protect platform integrity.
Upon termination:
- Rights granted under these Terms terminate immediately;
- Certain obligations survive termination; and
- We may delete or disable access to services or accounts subject to applicable law and agreements.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, excluding conflict-of-law principles.
Exclusive jurisdiction and venue for disputes shall be located in the state or federal courts located in Travis County, Texas, unless otherwise required by law.
19. Dispute Resolution
Before initiating formal proceedings, the parties agree to attempt good-faith informal resolution.
If disputes cannot be resolved informally, either party may pursue available legal remedies unless otherwise agreed in writing.
20. Export Compliance and Sanctions
You agree not to use services in violation of export control laws, trade sanctions, or restrictions administered by the United States or other applicable jurisdictions.
21. Force Majeure
CoreStack is not liable for delays or failures resulting from events beyond reasonable control, including:
- Natural disasters;
- Internet or infrastructure failures;
- Cybersecurity incidents;
- Labor disputes;
- Government actions;
- Power outages;
- Supply chain disruptions; or
- Failures of third-party providers.
22. Changes to These Terms
We may update these Terms periodically.
Updated Terms will be posted on this page with a revised effective date.
Continued use of services after updated Terms become effective constitutes acceptance of the revised Terms.
23. Miscellaneous
Entire Agreement
These Terms, together with applicable written agreements and policies, constitute the complete agreement regarding the services.
Severability
If any provision is found unenforceable, remaining provisions remain in effect.
Assignment
You may not assign these Terms without our prior written consent. CoreStack may assign these Terms in connection with mergers, acquisitions, reorganizations, or asset transfers.
Waiver
Failure to enforce any provision is not a waiver of rights.
Survival
Sections relating to intellectual property, confidentiality, limitations of liability, indemnification, dispute resolution, and related obligations survive termination.
